Navitus Continues Growth with Acquisitions of EpiphanyRx and Quality Drug Clinical Care

July 19, 2021

MADISON, Wis., July. 19, 2021 – Navitus Health Solutions, a full pass-through pharmacy benefit manager (PBM), today announced that it has acquired EpiphanyRx, a next-generation PBM solution headquartered in Brentwood, TN, strengthening Navitus’ ability to serve the unique needs of employers. Lumicera Health Services, Navitus’ wholly-owned specialty pharmacy, has also purchased Quality Drug Clinical Care, a specialty pharmacy serving patients with HIV in Irvine, CA, to better serve patients located in the western United States.

“Navitus continues to evolve and grow to deliver the highest quality clinical value and lowest net costs to our customers through our full pass-through, transparent business model,” said David Fields, President & CEO, Navitus. “Both of these organizations bring strong cultures and a commitment to transparency, which aligns with our mission to ensure people across the nation have access to affordable prescription drug coverage and the medications they need.”

A subsidiary of SSM Health, Navitus’ leading pharmacy benefit management services are built on a transformative pass-through approach, lowest-net-cost philosophy and outstanding clinical care model that works smarter and harder to deliver greater results. EpiphanyRx’s industry-leading co-pay assistance, specialty management program and technology platforms add to Navitus’ best-in-class solutions and increase savings for plan sponsors and members. EpiphanyRx’s expertise in working with mid-market employers and organizations also multiplies Navitus’ ability to service the pharmacy benefit needs of this unique market segment.

“This is an important day for our company as we partner with Navitus to continue to disrupt and transform the PBM industry,” said Brenda Motheral, CEO and co-founder, EpiphanyRx. “With a shared and consistent vision for how PBMs should serve plan sponsors and a mutual commitment to transparency, we look forward to maximizing cost savings for our customers and providing the best member experience.”

Navitus has also been focused on expanding the strategic footprint of Lumicera Health Services across the United States with specialty pharmacies in Madison, WI, Phoenix, AZ, Gaithersburg, MD, and now Irvine, CA, through the acquisition of Quality Drug Clinical Care. This amplified capacity allows the company to provide specialty medications and personalized clinical support to millions of people across the U.S. who live with complex chronic conditions.

“We are thrilled that Quality Drug Clinical Care has joined our growing network of Lumicera specialty pharmacies,” said Sharon Faust, Vice President, Specialty Pharmacy, Lumicera Health Services. “Quality Drug Clinical Care’s dedication to serving the unique needs of people with human immunodeficiency virus (HIV) also enhances Navitus’ ability to help this vulnerable population receive critical medications.”

During Navitus’ acquisition of EpiphanyRx, Covington Associates served as the exclusive financial advisor to EpiphanyRx, while McLane Middleton served as legal counsel. Goldman Sachs & Co. LLC and Deloitte served as Navitus’ financial advisors, while Quarles and Brady served as legal counsel. Financial details of the acquisition are not being released.
